Vendor Agreement
This Agreement governs your participation in the ScopeIQ vendor network. By accepting jobs through ScopeIQ, you agree to these terms.
1. Independent contractor
You are an independent contractor, not an employee of ScopeIQ. You control your own crew, schedule, equipment, and methods. ScopeIQ matches you with jobs but does not direct the work.
2. Insurance + licensing
- General liability: minimum $1,000,000 per occurrence / $2,000,000 aggregate. This is the industry-standard minimum for trade contractors; some operators or properties may require higher limits as a job-by-job condition.
- Workers' compensation as required by your state.
- Trade license / contractor registration where the work requires one.
- Auto + tool coverage at vendor's discretion.
- You will provide certificates of insurance on request.
3. Regulated trades (HVAC, Plumbing, Electrical)
HVAC, plumbing, and electrical work is a Regulated Tradeand is performed only by vendors who hold a current, valid state license appropriate to the trade and the work's jurisdiction. If you accept work in a Regulated Trade through ScopeIQ, you represent and warrant that:
- You (or the individual on site performing or supervising the work) hold a current, valid license issued by the state where the work is performed, and you will produce the license number, issuing state, and expiration on request.
- The license is in good standing — not suspended, revoked, expired, on probation, or subject to a pending disciplinary action that would prevent lawful performance.
- You will notify ScopeIQ within 5 business days if the license status changes (renewal, suspension, revocation, lapse, or change of issuing state).
- All Regulated-Trade work will be performed in compliance with applicable building codes, permit requirements, and inspection requirements. You are responsible for pulling permits where required, even if ScopeIQ's dispatch message did not explicitly call out a permit.
You indemnify and hold harmless ScopeIQ and the operator from any claim, fine, penalty, code citation, or damages arising from work performed without a current valid license, without a required permit, or in violation of the issuing state's licensing rules. ScopeIQ may verify your license against the issuing state board at any time and may suspend or terminate your network access immediately if a license cannot be verified or is found to be inactive.
4. Payouts
ScopeIQ collects payment from the operator and disburses to you via Stripe Connect on a Net-7schedule (paid out within seven calendar days) after the operator marks the job complete and the work passes the operator's acceptance check. ScopeIQ retains a platform fee of 10%of the gross job amount.
5. Job acceptance + cancellation
You can decline any job within 4 hours of dispatch. After accepting, late cancellation (within 24 hours of scheduled start) without operator-approved cause may result in temporary deactivation from the network. Repeated patterns of late cancellation are grounds for termination.
6. Quality + warranty
Work must meet operator-provided scope. If the operator reports a defect within 14 days of completion, you will return to remediate at no additional charge or, at ScopeIQ's discretion, ScopeIQ may dispatch another vendor and deduct the remediation cost from your next payout.
7. Conduct on property
- Treat tenant + operator property with care.
- No photography of tenants or their personal property without written consent.
- Comply with applicable health, safety, and lead-paint regulations.
- Background-check disclosure required at network onboarding.
8. Indemnification
You will indemnify and hold harmless ScopeIQ + the operator from any claim arising from your work — property damage, bodily injury, regulatory violations. ScopeIQ's liability to you is capped at unpaid earned fees.
9. Termination
Either party may terminate this Agreement at any time with written notice. On termination, ScopeIQ will pay out earned fees within 14 days. Insurance, indemnification, and confidentiality obligations survive termination.
10. Confidentiality
Operator, tenant, and pricing information you receive through ScopeIQ is confidential. You may not solicit operators directly off-platform for the duration of this Agreement plus 12 months thereafter, to the extent permitted by applicable state law. Where state law limits the enforceability of post-term non-solicitation, that state's limits control.
11. SMS consent and dispatch notifications
ScopeIQ's vendor network operates primarily via SMS dispatch. By accepting this Agreement and providing your mobile number, you consent to receive text messages from ScopeIQ for job dispatches, status updates, payout confirmations, and operational notices. Message and data rates may apply per your mobile carrier's plan. Message frequency varies based on dispatch volume — typically 5–30 messages per week for active vendors. Reply STOP to any ScopeIQ text to opt out of further messages (note: opting out of SMS will pause job dispatch and may result in temporary deactivation from the active vendor network).
